MSA & Schedule A Acknowledgement

Ballston Limousine Master Service Agreement (MSA)

  1. Scope of Long-Term Service & Asset Dedication: Provider may reserve, dedicate, or acquire fleet assets, allocate chauffeurs, secure specialized insurance riders, and turn down alternative commercial opportunities in reliance on the Client's long-term commitment.
  2. Refundability & Forfeiture of Funds: All monies paid, including deposits, monthly retainers, mobilization fees, and prepayments, are 100% non-refundable and non-transferable.
  3. Early Breach: If the Client terminates, attempts to terminate, or breaches the agreement before the natural expiration of the term, the Client is not released from financial obligations.
  4. Acceleration Clause: Upon breach or early termination, 100% of the remaining gross balance immediately accelerates and becomes due as a lump-sum payment within seven (7) business days.
  5. Inconvenience Loss & Liquidated Damages: The Client agrees to a mandatory Inconvenience Loss Fee equal to 35% of the total gross contract value, added on top of the accelerated balance.
  6. Insurance, Overhead, & Ongoing Fleet Costs: Provider shall not be forced to absorb fixed costs such as commercial insurance premiums, DOT compliance fees, and vehicle financing payments due to Client breach.
  7. Default, Collection Fees, & Legal Jurisdiction: Late balances accrue fees where allowed by law, and enforcement may include collection costs, court costs, expert witness fees, and reasonable attorney fees under Virginia law.

Client Authorization & Execution

By submitting this request, the authorized representative confirms they understand the agreement framework and may be asked to execute the full MSA and Schedule A before service begins.

Contract Value & Fee Calculation Addendum (Schedule A)

Schedule A establishes the exact baseline financial values used to enforce the Non-Refundability, Acceleration, and Inconvenience Loss clauses, including Gross Contract Value, Initial Non-Refundable Deposit, Recurring Monthly Base Rate, Contract Duration, Accelerated Unfulfilled Contract Value, 35% Inconvenience Loss Fee, and out-of-pocket vehicle/asset allocations.
