MSA & Schedule A Acknowledgement

Ballston Limousine Master Service Agreement (MSA)

  1. Scope of Long-Term Service & Asset Dedication: Ballston Limousine may allocate chauffeurs, vehicle capacity, dispatch resources, scheduling support, insurance coverage, and administrative overhead based on the service commitment submitted by the client.
  2. Refundability & Forfeiture of Funds: Deposits, setup charges, reservation retainers, and dedicated-service planning fees may be non-refundable once accepted and operational preparation begins.
  3. Early Breach: Early cancellation, non-payment, or failure to honor the agreed service term may result in accelerated amounts due under the contract and applicable recovery costs.
  4. Inconvenience Loss & Liquidated Damages: If service is cancelled after fleet, chauffeur, or dispatch resources are committed, the client may be responsible for an inconvenience loss fee reflected in Schedule A.
  5. Insurance, Overhead, & Ongoing Fleet Costs: Contract pricing may include fleet readiness, insurance exposure, driver availability, garage/maintenance planning, dispatch oversight, and administrative support.
  6. Default, Collection Fees, & Legal Jurisdiction: Past-due balances, chargebacks, unpaid invoices, or collection matters may result in recovery of reasonable fees, attorney costs, and collection expenses where permitted by law.

The person submitting this request represents that they are authorized to request pricing, contract preparation, and account review for the named organization.

Schedule A Addendum

Schedule A may include contract value and fee calculations including gross contract value, deposit, monthly base rate, contract duration, accelerated unfulfilled contract value, inconvenience loss fee equal to gross contract value multiplied by 0.35, out-of-pocket costs, client initials, and execution date.
